EULA / License
1. Definitions
| Term | Meaning |
|---|---|
| Extension | The MageRa Magento 2 software (module, theme, or package) delivered under this EULA, including its source code, assets, documentation, and any updates MageRa makes available during the active support period. |
| License Key | The unique identifier issued to Licensee at purchase. It is bound to your MageRa account, controls access to the Extension's downloads and updates, and is required when contacting MageRa support. |
| Production Installation | The single Magento 2 instance that serves a customer-facing storefront. Only one Production Installation is permitted per License Key. |
| Staging or Development Installation | A non-customer-facing Magento 2 instance (local, CI, staging, or pre-production) used to develop, test, or evaluate the Extension. Unlimited such installations are permitted. |
| Order Confirmation | The email MageRa sends at purchase. It includes the License Key, the purchased Extension, and the order ID. |
2. License Grant
Subject to your continued compliance with this EULA and payment of the applicable license fee, MageRa grants you a non-exclusive, non-transferable, revocable license to:
- Install and use the Extension on one (1) Production Installation and any number of Staging or Development Installations.
- Modify the Extension's source code solely for the purpose of customizing its behavior on your own Magento 2 instances.
- Receive updates, patches, and fixes during the active support period described in Section 4 (Updates and Support).
You may NOT sublicense, resell, rent, lease, redistribute, or otherwise transfer the Extension or any modified version of it to a third party, except as expressly permitted in Section 5 (Open-Source Components).
3. Restrictions
Except as expressly permitted in this EULA or by mandatory law, you agree NOT to:
- Resell, sublicense, or redistribute the Extension, modified or unmodified, as a standalone product or as part of a bundled product.
- Use the Extension on more than one Production Installation under a single License Key.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Extension.
- Reverse-engineer, decompile, or disassemble the Extension except to the extent such restriction is prohibited by applicable law.
- Use the Extension to build a competing product or service.
Enforcement. Non-compliance with this EULA may result in suspension or termination of the License Key, in addition to any remedies available at law or in equity.
4. Updates and Support
Each Extension purchase includes an initial support period of three (3) months from the date of purchase, during which the Licensee is entitled to:
- Updates: All minor and major version releases of the purchased Extension, delivered via Composer and the MageRa private package repository.
- Patches: Bug fixes and security patches, released on an as-needed basis.
- Support: Email-based technical support with a 24-hour weekday response time, Monday through Friday excluding Canadian statutory holidays.
After the initial support period expires, the Licensee may continue to use the Extension on the licensed Production Installation indefinitely. The support period may be renewed at a 40% discount off the then-current list price, at any time and without re-purchasing the Extension. Renewed support periods do not carry an additional money-back guarantee.
5. Open-Source Components
MageRa Extensions are built on top of the Magento Open Source platform and may incorporate third-party open-source libraries. Open-source components are governed by their respective licenses (MIT, BSD, Apache 2.0, etc.), and nothing in this EULA restricts your rights under those licenses. A list of open-source components and their licenses is available in each Extension's composer.json file.
6. Intellectual Property
The Extension, including all source code, design assets, documentation, trademarks, and branding, is and remains the exclusive property of MageRa No title to or ownership of the Extension is transferred under this EULA. MageRa grants Licensee a limited license to use the MageRa name and logo solely to identify the Extension as installed on the licensed Production Installation.
7. Refund Policy
MageRa offers a 30-day money-back guarantee on all Extensions. If you are not satisfied, contact support@magera.ca within thirty (30) days of purchase to request a full refund. Refunds are not available for renewed support periods, for Extensions that have been materially modified, or after the 30-day window has elapsed.
8. Disclaimer of Warranties
THE EXTENSION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAGERA DOES NOT WARRANT THAT THE EXTENSION WILL BE ERROR-FREE OR THAT OPERATION WILL BE UNINTERRUPTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGERA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA OR THE EXTENSION SHALL NOT EXCEED THE LICENSE FEE PAID BY LICENSEE FOR THE EXTENSION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL MAGERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
10. Termination
This EULA remains in effect until terminated. MageRa may terminate this EULA if Licensee breaches any of its terms and fails to cure the breach within thirty (30) days of written notice. Upon termination, Licensee must cease use of the Extension and destroy all copies in their possession. Sections 3, 6, 8, 9, and 11 shall survive termination.
11. Governing Law
This EULA is governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws principles. Any dispute arising under this EULA shall be resolved exclusively in the courts located in Toronto, Ontario.
