Terms of Service
1. Definitions
| Term | Meaning |

| Extension | Any Magento 2 module, theme, or package made available for purchase or download through the Service. |
| License | The right, granted under the applicable EULA, to install and use an Extension on a defined number of Magento 2 installations. |
| Customer | An individual or entity that purchases a License. |
| Storefront | The MageRa website at magera.ca and any related properties. |
2. Account Registration
To purchase an Extension or access downloads, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your password and for any activity on your account. Notify us immediately at security@magera.ca if you suspect unauthorized access.
3. License Grant
Subject to your payment of the applicable fees and your continued compliance with these Terms and the EULA, MageRa grants you a non-exclusive, non-transferable, revocable license to install and use each Extension you purchase in accordance with its documentation and the EULA. Licenses are sold per Magento 2 installation unless otherwise stated on the product page.
4. Pricing and Payment
Prices are listed in U.S. dollars and are exclusive of any applicable taxes unless stated otherwise. We reserve the right to change prices at any time; such changes will not affect orders already placed. Payment is due at the time of order.
5. Refund Policy
Digital goods — all sales final once the download link has been issued.
If an Extension is materially defective and we are unable to remedy the defect within a reasonable time, you may be eligible for a replacement or refund at our discretion. Contact billing@magera.ca within 14 days of purchase.
6. Updates and Support
Purchased Extensions include access to updates and standard support for the period stated on the product page (typically 12 months from the date of purchase). Support renewals and additional support options are available for purchase.
7. Intellectual Property
The Service, including all Extensions, documentation, designs, code, graphics, logos, and trademarks, is the property of MageRa Labs, Inc. or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license expressly granted in these Terms, no rights or licenses are granted to you.
8. User Content
You may submit reviews, comments, blog comments, support tickets, and other content ("User Content"). You retain ownership of your User Content, but you grant MageRa a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, translate, and distribute your User Content in connection with the Service.
9. Prohibited Conduct
- Resell, sublicense, redistribute, or commercially exploit the Extensions except as expressly permitted by the EULA.
- Reverse engineer, decompile, or attempt to derive the source code of any Extension (except to the extent expressly permitted by applicable law).
- Upload viruses, malware, or any other malicious code.
- Use the Service to violate any applicable law, regulation, or third-party right.
- Attempt to gain unauthorized access to the Service or related systems.
10. Disclaimers

THE SERVICE AND ALL EXTENSIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAGERA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAGERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT WILL MAGERA'S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC EXTENSION GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless MageRa and its affiliates from and against any claims, damages, obligations, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
13. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your license to use any Extensions you have purchased is governed by the EULA; these Terms remain in effect for any provisions that by their nature should survive termination.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the courts located in Toronto, Ontario, except where applicable consumer-protection law provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via a banner on the Site or by email to registered users. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
